You need to select a Registered Agent for Idaho LLC, before you file for Idaho LLC Certification of Organization with the Business Entities Division.

Who Can Be Your Registered Agent in Idaho?

You have following 3 options to form an LLC in Idaho with Registered Agent.

Certificate of Organization in Idaho:

As Idaho does not have an online filing, you can only file the Certificate of Organization by mail.

 

The State filing fee is $100, if the Certificate of Organization is typewritten and print out).

The state filing fee is $120, if the Certificate of Organization is handwritten.

If you are licensed in a professional field (like engineering, architecture, dentistry, landscape architecture, law, medicine, veterinary medicine, nursing, podiatry, professional geology, psychology, accountancy), then you  need to form a Professional LLC (PLLC). You have to use a different Certificate of Organization, which is Form 252.

You can pay the state filing fee either by check, money order or by credit card.

Checks and Money Orders should payable to “Idaho Secretary of State”.

Filing Fee in Idaho:

Pay $100, if your Certificate of Organization is typewritten.

Expedited Fee in Idaho:

Normal approval time for LLC is 7-10 days. If you need your LLC to be approved faster, add an extra $20 to your payment and the state will expedite the approval time to 3 – 4 days.

There is no fee to file an Annual Report. In Order to keep your LLC in good state, an Informational Report must be filed.

The purpose of Annual Report in Idaho is to keep the LLC contact information up to date.

Due Date to file an Annual Report is before the end of your LLC’s anniversary month.

Idaho Secretary of State will notify you by mail 2 months before the due date.

If you do not file your Idaho Annual Report, then the state will dissolve your LLC. If your LLC is shutdown, then you will need to file for reinstatement.
